M&A Manager

Our client, a fortune 500 company, is currently looking for M&A Manager to join the team in Hannover area.

The team is responsible for national and international projects in the areas of mergers & acquisitions , joint ventures as well as the planning and implementation of market entries of the Group.

Responsibilities:

  • Market observation and screening and feasibility studies for investment decisions in close cooperation with relevant market sectors
  • Organization and execution of the entire due diligence process in collaboration with internal specialist departments and external transaction consultants (investment banks, auditors, law firms, strategy consultants, etc.) as well as coordination with internal specialist departments
  • Creation of financial models and conducting company valuations according to all common practice methods
  • Analysis of suitable transaction structures together with the departments Law, Taxes and Accounting
  • Complex contract negotiations with the seller / buyer / cooperation partner down to the level of the board or top management of the partners
  • Preparation of (committee) decision templates and pre-coordination with relevant departments
  • Business design and processing of contract documents (letter of intent / term sheet, purchase contracts, other cooperation agreements such as joint venture / shareholder contracts, outsourcing contracts / SLAs, etc.) taking into account the due diligence results
  • Applying for supervisory and antitrust approvals between signing and closing
  • Connection of the acquired companies or portfolios to existing corporate structures

Your skills:

  • Completed economics or law school / university studies or comparable education
  • 3 – 6 years of  relevant work experience in Mergers & Acquisitions in an international environment
  • Preferably experience in the financial services sector ( banks, consulting, BIG4, in-house M&A roles at corporates)
  • Experience in  negotiations
  • Willingness to travel
  • Intercultural Competence
  • Fluent German and English spoken and written
